Supplemental Terms - eCommerce Gateway Solution
These Supplemental Terms set forth the terms and conditions on which Verifone will provide Merchant an interface between Merchant’s e-commerce website and a Verifone Cloud Service that provides e-commerce transaction routing. Merchant may choose from several possible interface options (each, a “Payment Interface”) and optional add-on services described herein. The Payment Interfaces and optional add-on services are referred to collectively as the Verifone eCommerce Gateway Solution (the “eCommerce Gateway Solution”). The eCommerce Gateway Solution does not include the development or maintenance of an e-commerce website for Merchant and merely addresses the payment functionality made available at checkout. You must select from the available payment interfaces through which you may access the eCommerce Gateway Solution in an Order Form.
GENERAL TERMS.
a. Features of eCommerce Gateway Solution. The available features and functions of the eCommerce Gateway Solution are described below. The specific features that you may subscribe to will be as specified on the applicable Order Form.
b. Integration of Environments. With respect to Payment Interfaces that require integration between your Merchant IT Environment and the eCommerce Gateway Solution, Verifone reserves the right to require testing of the integration prior to Merchant’s production use of the Payment Interface. In such case, you will cooperate with Verifone to schedule and complete such testing; Verifone will notify Merchant of the outcome of the testing and any relevant details necessary to allow commencement of the eCommerce Gateway Service. You are responsible for complying with the relevant instructions issued by Verifone regarding its integration and setup into the eCommerce Gateway Solution, including any updates issued by Verifone from time to time. You must provide all necessary transaction data in the format specified by Verifone to ensure that all transactions are processed and all fraud checks can be executed.
c. Fraud Screening. Verifone may offer one or more fraud screening tools as part of the eCommerce Gateway Solution, including through an integration to the fraud screening tools of a third-party provider. You acknowledge that (i) any fraud screening services provided by third parties are subject to availability and prices offered by such providers; and (ii) your use of a fraud screening tool does not guarantee that a particular transaction is not fraudulent or subject to reversal. YOU ARE RESPONSIBLE FOR ANY DECISION TO ACCEPT OR NOT ACCEPT A PARTICULAR PAYMENT TRANSACTION AND ANY ASSOCIATED RISK OF FRAUD, CHARGEBACK, OR OTHER REVERSAL.
d. Fees. Where fees are charged on a per transaction (or other event request) basis, for the purpose of calculating the number of transactions, any attempted transaction or other event request, purchase, authorization, pre-authorization, refund, retro-charge or representment request, regardless of whether such request is successful, declined, rejected, or reversed, will be counted. The fees payable for each service in each month will be the higher of (i) the Service Fees for such service calculated based on Merchant's usage of the relevant service or (ii) the Monthly Minimum Fee for such service.
e. Features. The features available with the eCommerce Gateway Solution are as outlined below. Verifone will confirm availability dates for specific features of the eCommerce Gateway Solution upon request.
eCommerce Payment Gateway | Verifone’s eCommerce payment gateway allows merchants to accept payments from websites, mobile phone applications, other internet-connected devices and interaction channels, and to accept payments in other remote selling environments (e.g., mail-order and call center locations). The eCommerce Payment Gateway interfaces with merchant acquiring financial institutions to provide real-time authorization of transactions and reporting service functionality which enables creation of settlement files and permits merchant access to transaction history and reports. Access to the eCommerce Payment Gateway may be provided via one or more Payment Interfaces, such as: Hosted Checkout - Hosted Payment Page: Merchant’s websites or mobile applications link out to a Verifone-hosted payment page. Hosted Checkout iFrame: Merchant embeds Verifone’s hosted payment page in Merchant’s websites or mobile applications using an iFrame. Hosted Checkout options may be accessed via certain third-party connectors with whom Verifone has developed integrations or through Verifone's checkout API. Direct API integration: Merchant obtains the customer’s payment information in Merchant IT Environment and transmits such information to the eCommerce Gateway using Verifone-provided APIs. Merchant may use this function together with Verifone.js, which is a tool that encrypts customer payment information in the customer’s browser to remove Merchant’s exposure to that payment information. Pay by Link: Merchant uses a Verifone portal to generate a single-use URL and email the link to Merchant’s customer so that the customer can complete the payment transaction on Verifone’s hosted payment page. |
Verifone Rule-Based Transaction Blocking | Verifone’s Rule-Based Transaction Blocking service applies proprietary algorithms to transactions processed via the eCommerce Gateway. These algorithms and fraud-detection mechanisms are customized to different industries and geographies, using artificial intelligence and a manual review process to optimize our ability to detect and minimize fraudulent transactions. |
Optional Verifone Services:
Verifone One Token - Account Updater Tool | The Verifone One Token Account Updater Tool updates cardholder card information upon reissuance of a card by an issuing bank in the event a cardholder’s card is lost, stolen or expires. |
Payment Tokenization Service | Verifone’s Tokenization Service is a Verifone Cloud Service that provides the ability for merchants to generate tokens as secure representations of sensitive card data to track consumer behavior or initiate various transaction requests through the use of a token. Verifone reserves the right to decrypt and transmit tokenized data as required under applicable federal, state, or local law, regulation, court order, or other legal process. Requests to decrypt and/or transmit tokenized data outside of the eCommerce Gateway Solution is not included and may be subject to additional fees. |
Optional Third-Party Services:
3-D Secure Authentication | Three-Domain Secure (3D Secure) authentication is a service provided by Cardinal Commerce Corporation, a Delaware (USA) corporation. This service utilizes the 3D Secure security protocol established by the card brands and enables merchants to add additional security to their online transactions by requiring cardholders to authenticate their identity with their card issuer prior to authorizing payments. |
Fraud Screening | Verifone offers an integration between Verifone’s eCommerce Payment Gateway and a fraud screening service provided by a third-party provider that provides a risk assessment score for transactions processed through the eCommerce Payment Gateway. The fraud screening service itself is provided by a third-party provider and therefore its continued availability, scope and pricing may be subject to change, as determined by the provider. |
