Supplemental Terms - Alipay’s Payment Services
Additional Terms Relating to Use of Alipay's Payment Services.
(a) General. The Alipay Service is provided by Alipay.com Co., Ltd., a corporation organized under the laws of the People’s Republic of China (“Alipay”), and its affiliates. Alipay is an independent third party not affiliated with Verifone. The Alipay Service enables registered users of the Alipay Mobile Wallet (“Alipay Users”) to pay for purchases at enabled locations via the scanning of a machine-readable format (such as barcode, QR code, or other technology capable of storing or accessing data). You acknowledge and agree that Alipay may modify the Alipay Service in its discretion.
(b) Initiation and Processing of Alipay Transactions. Alipay Transactions can currently be initiated either (i) if the code is generated on Alipay User’s mobile device, by the Alipay User’s scanning of the code on a Supported Device Model, which will then transmit the transaction data to Alipay via the APM Platform, or (ii) if the code is generated on a Verifone payment device, by the Alipay User scanning the code on its mobile device, in which case the transaction data will be transmitted via the Alipay User’s service network. In either case, Alipay will provide its authorization or declination to Verifone via the APM Platform, which will then be transmitted to your Supported Device Model. Alipay and Verifone may, at their discretion, enable Alipay transactions via other technology and methods in the future.
(c) Supported Refunds. The Alipay Service supports refunds for 365 days from the date the Transaction was made (a “Supported Refund”). In the event that an Alipay User requests a Supported Refund, and subject to your after-sale service policy, you may submit such request to Verifone for processing via the APM Platform. Verifone will return the amount of any Service Fee charged for that portion of a Transaction that is processed as a Supported Refund. Any request by an Alipay User for the return of the amount of any Transaction that is not a Supported Refund must be facilitated directly between you and such Alipay User.
(d) Responsibility for Chargebacks. If, based on Transaction Evidence provided by you, Verifone determines, in its reasonable discretion, that a Chargeback was due to your (or your employee’s) fraud, willful misconduct, or negligence, or in the event that you fail to provide Verifone with Transaction Evidence as required pursuant to these Supplemental Terms, then you shall be responsible for the amount of the Chargeback. In the event that you dispute a Chargeback, it shall promptly notify Verifone of such dispute, and the Parties will use commercially reasonable efforts to resolve such dispute in good faith.
(e) Minimum Due Diligence Information. Alipay reserves the right to approve your access to and continued use of the Alipay Services. Alipay requires that you provide, without limitation, the following information:
(i) Your legal name (including any d/b/a designation) and jurisdiction of organization;
(ii) Your primary business address;
(iii) Brief description of your business operations, including the nature of the principal commodities offered for sale;
(iv) Your category code (MCC) assigned by the payment card brands;
(v) Your website address and enterprise email address (if any);
(vi) Representative photographs of the interior and exterior of your retail location(s), including your logo/branding; and
(vii) Your legal and beneficial ownership information.
(f) Display. You must display the Alipay branding at the point of sale in compliance with the Alipay guidelines, and cooperate to have sales staff be trained to promote the use of the Alipay Service, including any requirements set forth in Alipay’s Marketing Guidelines for Offline Acquirers. Subject to your obligations under applicable card brand rules, merchants must display the brand or logo of Alipay in parity with all other forms of payment you accept, such as next to the cashier counter at physical retail stores and in your applications or promotional materials, in each case where payment options are featured for the purchase of your products or services. Alipay’s logo and content must be used only for the purpose of indicating acceptance of the Alipay Service as a form of payment, unless otherwise authorized by Alipay. Merchants must present a truthful description of the Alipay Service in accordance with Alipay’s guidance.
(g) Direction; Acceptance. You will direct Alipay Users to access the Alipay Service using their Alipay Wallet to make the relevant payments. You may not restrict Alipay Users from using the Alipay Service as a payment method at checkout at any supported sales channel, including but not limited to requiring a minimum or maximum purchase amount.
(h) Prohibited Transactions. You acknowledge and agree that you are prohibited from accepting payment for Transactions which are prohibited by Applicable Law, which violate Alipay’s internal policies, or which would result in Alipay being considered to have breached any Applicable Laws. Accordingly, merchants agree not to submit for payment any product or service that is prohibited or restricted from being sold via the Alipay Service under Applicable Law, including, without limitation, the products and services listed on Schedule 1 to these Supplemental Terms, as may be updated by Alipay from time to time upon reasonable prior written notice to you and Verifone (“Prohibited Products”). You agree to provide Alipay such information about your products and services as may be reasonably requested by Alipay from time to time and acknowledge that Alipay may refuse to permit the use of the Alipay Service for any payment for any Prohibited Product. You represent and warrant that, to the best of your knowledge, none of the goods or services you sell infringes upon any third party’s rights and interests, including, without limitation, intellectual property rights and proprietary rights. If you become aware that any of your goods or services infringes upon any third party’s rights or interests, you must notify Verifone and Alipay of such fact and shall cease selling such goods or services. In the event that you decline to stop selling such infringing goods or services, Verifone shall have the right to cease providing you the Alipay Service. You agree to indemnify Verifone and Alipay for any damages, losses, and liabilities they may suffer arising from or in connection with any payment for a Prohibited Product.
